Our online store is hosted by Shopify, which provides the ecommerce platform that allows us to offer and sell our products.

By accessing or using the Services, creating an account, or purchasing a product from us, you agree to these Terms and any policies referenced in them.

Receipt of an order confirmation does not necessarily constitute final acceptance of an order.

If we cancel an order after payment has been collected, we will issue an appropriate refund for the cancelled portion of the order.

Unless Fundamentum expressly agrees otherwise in writing, products purchased through our retail Site are sold for personal use and not for unauthorized resale or commercial redistribution.

You may not purchase products for the purpose of:

9. Prices and Payment

Unless otherwise stated, prices displayed for U.S. customers are in U.S. dollars.

Prices, promotions, product availability, shipping charges, and other offers may change without notice.

You agree to provide current, complete, and accurate purchase and account information for transactions made through the Services.

You authorize Fundamentum and its payment providers to charge the payment method you provide for:

  • Shipping or delivery charges

We may use Shopify or other third-party payment processors to process transactions.

We generally do not directly receive or store complete payment-card information.

If a product is listed at an incorrect price or with materially incorrect information, we reserve the right, subject to applicable law, to:

If payment has already been collected for an order we cancel because of such an error, we will refund the appropriate amount.

11. Taxes

You are responsible for applicable sales, use, or similar taxes associated with your purchase except where those taxes are required to be collected and remitted by us.

Applicable taxes may be calculated and displayed during checkout.

12. Shipping and Delivery

Orders are subject to our applicable Shipping Policy, which is incorporated into these Terms by reference.

Shipping and delivery estimates are estimates only unless expressly stated otherwise.

You are responsible for providing an accurate and deliverable shipping address.

Fundamentum is not responsible for delays caused by inaccurate or incomplete shipping information provided by the customer, except as otherwise required by law.

13. Returns, Refunds, and Cancellations

Returns, refunds, replacements, and order cancellations are governed by our applicable Refund or Return Policy, which is incorporated into these Terms by reference.

Nothing in these Terms limits any consumer right that cannot legally be waived.

14. Customer Accounts

Certain features may allow you to create or use a customer account, including account functionality provided through Shopify.

You are responsible for:

Our ecommerce Services are hosted through Shopify.

Certain features, including checkout, payment functionality, customer accounts, Shop, or Shop Pay, may be provided in whole or in part by Shopify or other third parties.

Your use of third-party services may also be governed by the applicable third party's terms and privacy practices.

Fundamentum is not responsible for the independent acts or omissions of third parties except to the extent responsibility cannot legally be excluded.

16. Permitted Use

Fundamentum grants you a limited, non-exclusive, non-transferable, revocable right to access and use the Site for lawful personal purposes in accordance with these Terms.

You may not use the Services for unlawful, fraudulent, abusive, or unauthorized purposes.

17. Prohibited Conduct

You agree not to:

are owned by Fundamentum or used under appropriate license and are protected by applicable intellectual-property laws.

Except as expressly permitted in these Terms, you may not reproduce, modify, distribute, publish, transmit, display, sell, license, create derivative works from, or commercially exploit our content without prior written authorization.

You may make ordinary personal, noncommercial use of Site content, including viewing the Site and printing information for your own reference.

No rights in our trademarks, branding, copyrighted material, or other intellectual property are transferred to you through your use of the Services.

19. Product Reviews and User Content

The Services may allow you to submit reviews, photographs, comments, testimonials, feedback, or other content (“User Content”).

You retain ownership of rights you hold in your User Content.

By submitting User Content to Fundamentum, you grant us a non-exclusive, worldwide, royalty-free, sublicensable license to use, reproduce, display, distribute, adapt, format, and publish that content in connection with:

  • Marketing
  • Advertising

  • Other legitimate business activities

This license continues for as long as reasonably necessary for those uses, subject to applicable law.

  • The content does not knowingly contain materially false information
  • The content does not infringe another person's rights

We may moderate, refuse, or remove User Content where permitted by law, including content we reasonably believe is fraudulent, unlawful, abusive, irrelevant, infringing, or inconsistent with our policies.

We are not obligated to publish any submitted content.

20. Feedback and Suggestions

This provision does not apply to personal information, which is handled according to our Privacy Policy.

Fundamentum may operate affiliate, ambassador, creator, referral, or similar programs.

Participation in such programs may be governed by separate terms or agreements.

Nothing in these Terms makes an affiliate, ambassador, creator, or referral partner an employee, agent, legal representative, joint venturer, or partner of Fundamentum unless expressly agreed otherwise in writing.

Affiliate links, discount codes, referral identifiers, and commissions may be subject to separate program rules.

We may investigate suspected manipulation, self-referrals, fraudulent transactions, unauthorized advertising, or other abuse associated with such programs.

Fundamentum does not control third-party services and does not necessarily endorse their content, products, services, opinions, security, or privacy practices.

After opting out, you may receive a confirmation message. You may continue to receive messages that you separately request or that are otherwise permitted by law.

You agree to provide a valid mobile number that you are authorized to use.

If your telephone number changes or is reassigned, you should update your information or opt out of the messaging program.

Additional program-specific disclosures may be presented when you enroll.

26. No Guarantee of Results

Fundamentum does not guarantee that use of any dietary supplement, product, educational material, or other Service will produce a particular health, wellness, physical, cognitive, athletic, or other result.

Results may vary substantially between individuals.

Customer reviews, testimonials, personal experiences, or other anecdotal reports describe individual experiences and should not be interpreted as guarantees that another person will experience the same results.

27. Disclaimer of Warranties

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, THE SITE, ITS CONTENT, AND THE SERVICES ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS EXCEPT WHERE WE EXPRESSLY STATE OTHERWISE.

FUNDAMENTUM DISCLAIMS WARRANTIES, EXPRESS OR IMPLIED, TO THE EXTENT SUCH WARRANTIES MAY LAWFULLY BE DISCLAIMED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

WE DO NOT WARRANT THAT:

  • ACCESS TO THE SITE WILL ALWAYS BE UNINTERRUPTED OR ERROR-FREE
  • THE SITE WILL BE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS
  • EVERY ERROR OR DEFECT WILL BE CORRECTED

28. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, FUNDAMENTUM WELLNESS LLC AND ITS MEMBERS, MANAGERS, OFFICERS, EMPLOYEES, AGENTS, AFFILIATES, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES ARISING FROM OR RELATING TO YOUR USE OF THE SERVICES.

THIS MAY INCLUDE, TO THE EXTENT PERMITTED BY LAW, LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITY.

TO THE FULLEST EXTENT PERMITTED BY LAW, FUNDAMENTUM'S AGGREGATE LIABILITY ARISING FROM OR RELATING TO A PARTICULAR PURCHASE, PRODUCT, OR TRANSACTION WILL NOT EXCEED THE AMOUNT YOU PAID TO FUNDAMENTUM FOR THE PRODUCT OR TRANSACTION GIVING RISE TO THE CLAIM.

THE LIMITATIONS IN THIS SECTION APPLY REGARDLESS OF THE THEORY OF LIABILITY, INCLUDING CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR OTHERWISE, TO THE EXTENT PERMITTED BY APPLICABLE LAW.

Nothing in these Terms excludes or limits liability to the extent that such liability cannot lawfully be excluded or limited.

Some jurisdictions do not allow certain exclusions or limitations of liability. In those jurisdictions, these provisions apply only to the maximum extent permitted by law.

29. Indemnification

To the extent permitted by applicable law, you agree to indemnify, defend, and hold harmless Fundamentum Wellness LLC and its members, managers, officers, employees, agents, and affiliates from third-party claims, liabilities, damages, losses, and reasonable expenses arising from:

  • Your unlawful or unauthorized use of the Services
  • Your material violation of these Terms
  • Your infringement of another person's rights
  • User Content submitted by you
  • Fraudulent or intentionally wrongful conduct by you

This section does not require you to indemnify Fundamentum for conduct for which indemnification may not lawfully be required.

This provision does not excuse obligations that applicable law does not permit us to excuse.

Nothing in these Terms deprives you of protections provided by laws that cannot lawfully be waived.

36. Dispute Resolution and Venue

Before filing a lawsuit arising from these Terms or the Services, you and Fundamentum agree to make a reasonable, good-faith attempt to resolve the dispute informally.

If a dispute cannot be resolved informally, any judicial proceeding arising from these Terms will, to the extent permitted by applicable law, be brought in a court of competent jurisdiction located in Pennsylvania.

Nothing in this section prevents either party from seeking emergency or injunctive relief where appropriate, nor does it restrict rights that cannot legally be waived.

37. Severability

If any provision of these Terms is determined to be unlawful, invalid, or unenforceable, that provision will be enforced to the maximum extent permitted by law or severed as necessary.

The remaining provisions will remain in effect.

38. No Waiver

Our failure to enforce a provision of these Terms does not waive our right to enforce that provision or any other provision in the future.

A waiver is effective only when expressly made by the party granting it.

39. Assignment

You may not assign or transfer your rights or obligations under these Terms without our prior written consent, except where applicable law provides otherwise.

Fundamentum may assign or transfer these Terms in connection with a merger, acquisition, restructuring, sale of assets, corporate reorganization, or similar transaction, or as otherwise permitted by law.

40. Entire Agreement

These Terms, together with policies and terms expressly incorporated by reference—including our Privacy Policy and applicable shipping and refund policies—constitute the agreement between you and Fundamentum regarding your use of the Services.

They supersede prior communications or understandings concerning the same subject matter, except for a separate written agreement expressly entered into between you and Fundamentum.
